1. Acceptance of Terms

By registering for an account, accessing, or using the TradeIQAI platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our platform.

These Terms constitute a legally binding agreement between you and TradeIQAI, LLC, a Delaware limited liability company. If you are using our platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

TradeIQAI provides a trading intelligence platform that offers:

• Real-time and delayed market quotes and data
• Ticker research and analysis tools
• Financial news, headlines, and market reports
• Watchlists and price alerts
• AI-powered ticker analysis and trade idea feedback
• REST API access for developers (subject to subscription tier)
• Other related services and features as described on our platform

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice, at our sole discretion.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our platform. By creating an account, you represent and warrant that:

• You are at least 18 years of age
• You have the legal authority to enter into these Terms
• All information you provide is accurate, current, and complete
• You will maintain and promptly update your account information
• You are responsible for maintaining the confidentiality of your account credentials

3.2 Account Security

You are solely responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause or notice, if you violate these Terms, engage in fraudulent or illegal activity, or for any other reason we deem necessary to protect our platform, users, or business interests.

4. Subscription Plans and Billing

4.1 Subscription Tiers

TradeIQAI offers various subscription plans with different features, limits, and pricing. Current subscription plans and pricing are available on our pricing page. We reserve the right to modify subscription plans, features, and pricing at any time, with reasonable notice to existing subscribers.

4.2 Billing and Payment

Subscription fees are billed in advance on a monthly or annual basis, as selected during registration. You agree to pay all fees associated with your subscription using a valid payment method. All fees are non-refundable except as required by law or as explicitly stated in our refund policy.

If payment fails or your subscription is not renewed, we may suspend or terminate your access to paid features. You remain responsible for all charges incurred prior to termination.

4.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel your subscription before the renewal date. You can cancel your subscription at any time through your account settings or by contacting us.

4.4 Price Changes

We may change our subscription prices at any time. Price changes will not affect your current billing period but will apply to subsequent renewal periods. We will provide reasonable notice of price changes.

5. Acceptable Use Policy

You agree to use our platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable federal, state, local, or international law or regulation
• Infringe upon the intellectual property rights, privacy rights, or other rights of TradeIQAI or third parties
• Transmit any malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to our platform, systems, or other users' accounts
• Interfere with or disrupt the operation of our platform or servers
• Use automated systems (bots, scrapers, crawlers) to access our platform without authorization, except through our official API
• Reverse engineer, decompile, or disassemble any part of our platform
• Resell, redistribute, or sublicense our services or data without explicit written permission
• Use our platform to provide services to third parties in a manner that competes with TradeIQAI
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Collect or harvest information about other users without their consent
• Engage in any activity that could damage, disable, or impair our platform or interfere with other users' access

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account and legal action.

6. API Usage and Rate Limits

If you subscribe to a Developer plan with API access, you agree to:

• Use the API only in accordance with our API documentation and guidelines
• Comply with all rate limits and usage restrictions associated with your subscription tier
• Not attempt to circumvent rate limits or access restrictions
• Not use the API in a manner that could harm our systems or other users
• Keep your API keys secure and not share them with unauthorized parties

We reserve the right to throttle, suspend, or terminate API access if you exceed your rate limits or violate these Terms. Excessive API usage may result in additional charges or account suspension.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The TradeIQAI platform, including all software, code, designs, graphics, logos, text, content, data, and other materials, is owned by TradeIQAI, LLC or our licensors and is protected by copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our platform solely for your personal or internal business purposes in accordance with these Terms.

7.2 Market Data

Market data, quotes, and financial information provided through our platform are owned by third-party data providers and are subject to their respective terms and restrictions. You may not redistribute, resell, or use such data for commercial purposes beyond your authorized use of our platform.

7.3 User Content

You retain ownership of any content you submit, post, or create through our platform (such as trade ideas, watchlists, or analysis). By submitting content, you grant TradeIQAI a worldwide, royalty-free, non-exclusive license to use, store, display, and process your content solely for the purpose of providing and improving our services.

8. Disclaimers and Limitations of Liability

8.1 No Financial Advice

IMPORTANT: TradeIQAI provides market data, research tools, and AI-powered analysis for educational and informational purposes only. The information, analysis, and content provided through our platform are not intended as, and should not be construed as, financial, investment, legal, or tax advice. We do not provide personalized investment recommendations or endorse any particular trading strategy, security, or investment.

All trading and investment decisions involve risk, including the potential loss of principal. You should conduct your own research, consult with qualified financial advisors, tax professionals, and legal counsel before making any investment decisions. Past performance does not guarantee future results.

8.2 Data Accuracy and Availability

While we strive to provide accurate and timely information, we do not warrant or guarantee the accuracy, completeness, reliability, or timeliness of any data, quotes, or information provided through our platform. Market data is provided by third-party sources and may be delayed or contain errors. We are not responsible for any losses or damages arising from reliance on inaccurate or delayed data.

We do not guarantee that our platform will be available, uninterrupted, error-free, or secure. We may experience downtime, maintenance, or technical issues that affect platform availability.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADEIQAI, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE OUR PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

8.4 No Warranties

OUR PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT OUR PLATFORM WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Indemnification

You agree to indemnify, defend, and hold harmless TradeIQAI, LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or access to our platform
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable law or regulation
• Any content you submit, post, or transmit through our platform

10. Termination

You may terminate your account at any time by canceling your subscription and contacting us to request account deletion. We may terminate or suspend your account and access to our platform immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination, your right to use our platform will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or your use of our platform shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

11.2 Dispute Resolution

Before filing a claim, you agree to contact us to attempt to resolve the dispute informally. If we cannot resolve the dispute within sixty (60) days, you agree to resolve disputes through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), except that you may bring claims in small claims court if your claims qualify.

You agree that any arbitration will take place in Delaware and will be conducted in English. You waive any right to a jury trial and agree to resolve disputes on an individual basis, not as part of a class action or representative proceeding.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website with a new "Last Updated" date
• Sending an email notification to the address associated with your account
• Displaying a prominent notice on our platform

Your continued use of our platform after such changes constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using our platform and terminate your account.

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TradeIQAI regarding your use of our platform and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms or our rights and obligations hereunder without restriction.

13.5 Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, internet or telecommunications failures, or government actions.
